Terms of Service

In short

  • Traderly is a workspace for studying US stocks: scanners, charts, alerts and replay, on market data delayed at least 15 minutes.
  • It is not investment advice, and it does not place trades. Your trading decisions are yours alone.
  • Access is by invitation. After a 14-day free trial, the subscription renews monthly until you cancel.
  • Use it for yourself: no reselling, redistributing or scraping the data or the service.

1. These terms

Traderly (“Traderly”, “we”, “us”) is operated by an individual based in the State of Florida, United States. These Terms of Service govern your use of the website at traderly.pro, the Traderly workspace and everything we provide through them (together, the “Service”).

By joining the waitlist, creating an account or using the Service, you agree to these terms, to our Privacy Policy, our Risk Disclosure and our Market Data Notice. If you do not agree, do not use the Service.

2. Who can use Traderly

  • You must be at least 18 years old and able to enter into a binding contract.
  • You may not use the Service where the law does not allow it, or if we have closed your account before.
  • An account is for one person. Give us accurate information and keep it up to date.

3. The waitlist and invitations

Traderly opens by invitation. Joining the waitlist does not guarantee an invitation, a date or a price. We send invitations in batches and may decide who to invite and when. An invitation is personal and may expire.

When you join, you get an invite link to share. Inviting others may bring your invitation forward; it is not a guarantee of an invitation or a date. We may ignore referrals that look automated or self-made.

4. Your account

Keep your sign-in details safe and do not share your account. You are responsible for what happens under your account. If you think someone else has used it, tell us at support@traderly.pro straight away.

5. Trial, subscription and billing

  • Free trial. A new account starts with a 14-day free trial. When it ends, your paid subscription starts at the price shown to you before you subscribed, unless you cancel before the trial ends.
  • Renewal. Subscriptions are billed in advance, every month, and renew automatically until you cancel. Payments are handled by our payment processor; we do not see or store your full card number.
  • Cancelling. You can cancel at any time from your account. Your access continues until the end of the period you have paid for, and is not renewed after it.
  • Refunds. Payments are not refundable, including for unused parts of a period, except where the law requires a refund.
  • Price changes. We will tell you at least 30 days before a new price applies to you. It takes effect at your next renewal; you can cancel before then.
  • Taxes. Prices may not include taxes, which are added where the law requires.

Offers. An offer, such as 50% off the first paid month for answering the waitlist survey's three questions, applies only as described when it is made. It belongs to the email address it was given to, cannot be transferred or exchanged for cash, and cannot be combined with other offers unless we say so.

6. Not investment advice

Traderly provides software tools and information for studying the market and practising. Nothing in the Service is a recommendation or an offer to buy or sell any security, or advice about investing, trading, taxes or law.

We are not a broker-dealer, an investment adviser or an exchange, and the Service does not place orders. Scanners, alerts, rankings and replays are tools you configure; when they show a symbol, that is not an opinion about it. You alone are responsible for your decisions and their results. 7. Market data

Market data in the Service is delayed by at least 15 minutes, comes from third-party sources, and may be incomplete or wrong. It is for your personal, non-commercial use only and may not be redistributed. Our Market Data Notice is part of these terms.

8. Acceptable use

You agree not to:

  • copy, redistribute, publish, sell or rent the Service or its data, or show it to people who do not have their own account;
  • scrape, crawl or download data in bulk, or reach the Service through bots or automated means we do not provide;
  • reverse engineer the Service, or try to get around its limits, security or plans;
  • overload or disrupt the Service, or reach parts of it you are not allowed to;
  • share your account, or create accounts to avoid a suspension or a limit;
  • use the Service to break the law, including the rules against market manipulation.

9. What you create

The layouts, screens, alerts, drawings and settings you create are yours. You allow us to store and process them to run the Service for you. If you send us ideas, feedback or survey answers, we may use them without owing you anything.

10. Our rights

The Service, its software, design, text and the Traderly name and mark belong to us or to those who license them to us. While your account is in good standing, we give you a personal, limited, non-exclusive, non-transferable and revocable right to use the Service under these terms. Nothing else is granted.

11. Changes to the Service

We improve Traderly all the time, so features may be added, changed or removed. Features marked as early or beta may be less reliable. If we remove something central to what you pay for, we will tell you in advance where we reasonably can.

12. Suspension and closing an account

You can stop using the Service and close your account at any time. We may suspend or close an account, with notice where we reasonably can, if it breaks these terms, does not pay, puts the Service or others at risk, or if the law requires it.

When an account closes, access ends and its data is deleted as our Privacy Policy describes. Sections that by their nature should last (such as payment owed, disclaimers, limits of liability and disputes) survive.

13. Disclaimers

The Service and all data in it are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, timeliness and non-infringement. We do not promise that the Service will be uninterrupted, error-free or secure, or that its data or alerts are complete, correct or on time.

14. Limit of liability

To the fullest extent the law allows, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for trading or investment losses, lost profits, lost data or lost opportunities, arising from or related to the Service, even if we were told they were possible. Our total liability for any claim related to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and 100 US dollars.

Some places do not allow some of these limits; where they do not, the limits apply as far as the law permits.

15. Indemnity

You agree to defend and compensate us against claims, losses and costs (including reasonable legal fees) that arise from your breach of these terms or your misuse of the Service.

16. Governing law and disputes

These terms are governed by the laws of the State of Florida and the federal laws of the United States, without regard to rules on conflicts of laws. Before starting a claim, write to us at support@traderly.pro so we can try to resolve it within 30 days. If we cannot, the state and federal courts located in Florida have exclusive jurisdiction, and you and we agree to their jurisdiction.

17. Changes to these terms

We may update these terms. The date at the top says when they last changed. If a change is significant, we will tell you by email or in the Service at least 15 days before it applies. Continuing to use the Service after that means you accept the new terms.

18. General

These terms, with the documents they refer to, are the whole agreement between you and us about the Service. If a part of them cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours as part of a reorganisation or a sale of the Service. We are not responsible for delays or failures caused by events beyond our reasonable control.
